These terms and conditions ("Terms") apply to the purchase and use of hand knotted carpets (each a "Physical Carpet"), each equipped with a unique Near-Field Communication tag ("NFC Tag") (the combination of the two referred as "Carpet"), and related authentication services (together the "Services"). The purchase of the Carpets is available on https://magicgabbehgallery.io, and offered by Re-Ignition.World - Andreas Pelmter, 8005 Zürich, Switzerland ("Re-Ignition.World") via a web3 platform provided by a third-party provider in accordance with the applicable terms and conditions provided by the third-party provider (the "Platform").
The Customer acknowledges and agrees that the Platform is provided by a third party provider and that Re-Ignition.World is not responsible for the availability or functioning of the Platform. The Customer acknowledges that they may need to create an account to access and use the Platform or part of the Platform, and that they may need to connect their blockchain wallet to their account, to the extent made available by the Platform, in order to purchase the Carpets offered by Re-Ignition.World. Applicable terms and conditions of the Platform provider may apply.
These Terms, together with all other referenced documents constitute a legally binding contract (together the "Agreement") between you (the "Customer") and Re-Ignition.World (collectively the "Parties"). In case of a conflict between the Terms and another documents, the Terms prevail, unless the conflicting provision in the other document explicitly references the respective provision in the Terms.
The Customer represents and warrants that they are not a person or entity barred from using the Services under the laws of Switzerland, their place of residence, or any other applicable jurisdiction.
Re-Ignition.World sells the Carpets to the Customer in accordance with the applicable order made by the Customer on the Platform.
The NFC Tags are offered as a unit together with the rights to use the linked Non-Fungible Token ("NFT") (NFC Tags and rights of use together "Unit") to verify the authenticity of the Carpets.
The Customer can check the Physical Carpet's authenticity by scanning the NFC Tag located on the delivered Physical Carpet with their smartphone via the Platform, and after purchasing the Physical Carpet, register their ownership of the Physical Carpet and get access to the linked NFT being part of the Unit.
The purchase of the Carpet is initiated by the Customer through the purchase of a NFT on the Platform ("NFT Purchase").
The purchase price for a given Carpet ("Purchase Price") shall by paid by the Customer in accordance with the instructions displayed on the Platform upon the NFT Purchase.
Payment of the Purchase Price is processed on the designated Platform via the available payment methods, as specified by Re-Ignition.World.
Unless expressly stated otherwise, all fees are denominated in Ethereum (ETH) and exclude VAT and other applicable taxes. The full Purchase Price is payable in advance upon placement of the order via the Platform. Any right to set off, retain, deduct, counterclaim and/or withhold any payments due under the Agreement vis-à-vis Re-Ignition.World is hereby expressly waived and excluded.
Except where prohibited by law, all fees are non-refundable.
After completing the NFT Purchase, the Customer shall provide accurate shipping information, including recipient name and delivery address, to Re-Ignition.World using the URL provided by Re-Ignition.World. Re-Ignition.World may subject the access to the URL related to the provision of shipping information to the prior connection of the related NFT by the Customer.
Shipping costs are included in the Purchase Price. Re-Ignition.World reserve the right to exclude shipping destinations at its own discretion, and to the extent displayed on its website or otherwise communicated to the Customer. Upon receipt of the shipping information, Re-Ignition.World shall dispatch the Carpet and provide the Customer with the relevant tracking number, logistics provider, and estimated date of shipment. If Re-Ignition.World fails to provide the required shipping details within twenty (20) calendar days of purchase, the Purchase Price will be refunded to the Customer.
Upon delivery, the Customer shall confirm receipt by scanning the embedded NFC located in the Physical Carpet and linked to the purchased NFT.
The Customer shall inspect the quality and quantity of the Physical Carpet within ten (10) days of delivery. The Customer may reject any Physical Carpets that are not in conformity with the Agreement or are defective. To the extent the Customer rejects any portion of the Physical Carpet, Re- Ignition.World shall reimburse all or part of the Purchase Price, depending on the extent of the defect, at Re-Ignition.World's reasonable discretion, and pay for related costs, including, but not limited to, transportation costs for returning the defective goods, if necessary.
A delivery shall be deemed to have been accepted if the Customer has not objected to it in writing within ten (10) days from the receipt of the delivery, or upon connection of the Unit, whichever happens earlier ("Acceptance"). The right to reimbursement under this Section 3.4 is the Customer's sole and exclusive right arising from defects in the warranted characteristics of the Physical Carpet as communicated by Re-Ignition.World (if any)].
The Customer acknowledges and agrees that full ownership rights of the Carpet under applicable Swiss law are acquired only upon Acceptance.
Each Customer having bought a Carpet may freely re-sell the Carpet, or any part of it individually, including the Physical Carpet and its associated Unit to a third party, to any third-party (in this case, the reselling Customer is the "Seller", and the purchasing third-party is the "Buyer").
The Seller may use, or not use, the Platform to sell the Carpet to the Buyer. Upon re-sale of the Carpet, the Customer acting as Seller shall transfer the NFT to the Buyer. Re-Ignition.World is not responsible and cannot be in any way liable for the transfer of the NFT by the Seller to the Buyer. All remedies of the Buyer must be exercised towards the Seller.
Upon Re-Ignition.World's request, and in order to maintain the traceability and authenticity of the Carpets, the Customer acting as Seller shall transfer at their own expense and in due time the Physical Carpet to any Buyer who legitimized its lawful purchase of the related NFT.
The Customer understands that upon resale of the Physical Carpet, the original Customer shall no longer be considered the owner of the Carpet, and the new holder assumes all associated rights and responsibilities, subject to verification of authenticity mechanism.
In any case, the Customer acknowledges and agrees that the Seller and Buyer are solely responsible for handling the shipping of the Physical Carpet.
The Customer acting as Seller is solely responsible for making the Buyer aware of this section of the Terms and for complying with applicable resale regulations, consumer protection rules, and tax obligations in their jurisdiction.
Re-Ignition.World shall provide the Customer with the Services as agreed in the Agreement.
Re-Ignition.World may amend the Terms, including the applicable fees, from time to time at its sole discretion by publishing an updated version of the Terms on Re-Ignition.World's websites. Where possible, Re-Ignition.World will electronically notify the Customer of any material changes to the Terms. The Customer should check the Terms regularly and only use the Services upon acceptance of the changes to the Terms. The Customer's continued use of the Services following any amendments indicates acceptance of the changes to the Terms.
Re-Ignition.World constantly develops and improves its Services and may modify or either temporarily or permanently stop providing the offered Services or any part of it at its sole discretion. In case of material changes to the Services, i.e., changes significantly altering the nature and scope of the Services provided to the Customer according to the Agreement, Re-Ignition.World will notify the Customers that are directly affected by such changes, and where reasonably possible.
The Customer agrees to use the Services in compliance with the Agreement and all legal and moral obligations applicable in the territory where they are located.
The Customer is obliged to cooperate in the performance of this Agreement to the necessary extent free of charge. The Customer is obliged to provide Re-Ignition.World with all necessary information, documents, materials, access, software, data, as well as competent staff, and anything else reasonably required for the provision of Services. Furthermore, the Customer is obliged to inform Re-Ignition.World immediately if errors or faults occur and to support Re-Ignition.World in the analysis and, if necessary, in the elimination of errors and faults to the extent required.
If the provision of Services under this Agreement is delayed due to the Customer's failure to comply with his duty to cooperate or due to other circumstances for which the Customer is responsible, the Customer shall bear the disadvantages and additional costs incurred.
Each party retains all rights, titles, and interests to its own intellectual property, including all copyrights, inventions, trademarks, designs, domain names, know-how, trade secrets, source codes, data and other intangible property rights ("Intellectual Property Rights").
Where applicable and only to the extent necessary, each party grants the other party a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to the Intellectual Property Rights solely to the extent required to fulfil the Agreement.
The Agreement between the parties remains in full force and effect until its termination by either party.
Either party may terminate the Agreement at any time with immediate effect by text notice.
Termination does not affect any rights, obligations, or liabilities of either party that have accrued before or are intended to stay effective beyond termination.
Re-Ignition.World collects and processes personal data as described in its Privacy Policy available at https://magicgabbehgallery.io/privacy-policy. Re-Ignition.World protects the collected personal data by means of appropriate technical and organizational measures and in accordance with the data protection legislation applicable in Switzerland and the European Union.
Re-Ignition.World treats the confidential information of the Customer with adequate confidentiality standards and processes the Customer’s personal information only as needed.
Re-Ignition.World is fully liable to the Customer for damages resulting from Re-Ignition.World’s gross negligence or wilful misconduct.
In all other cases, Re-Ignition.World’s liability under the Agreement is excluded to the maximum extent permitted under applicable law.
Neither party may recover from the other party, regardless of the legal reason, any amount with respect to loss of profit, data, or goodwill, or any consequential, incidental, indirect, punitive, or special damages in connection with claims arising out of this Agreement or otherwise relating to the Services, whether or not the likelihood of such loss or damage was contemplated.
Re-Ignition.World will not be held liable for inaccuracy or incompleteness of the Services, or the incompatibility of the Services with any specific objectives that the Customer is hoping to achieve.
The Customer agrees to indemnify, and hold Re-Ignition.World harmless from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of a material breach of Section 4
Subject to the acceptance deadline set forth in section 3.4 above, Re-Ignition.World provides a warranty in accordance with the statutory warranty provisions, solely for characteristics of the Physical Carpet explicitly warranted.
Re-Ignition.World represents and warrants that the Physical Carpets are authentic and do not misappropriate or infringe any design, patent, trademark, copyright, trade secret or other intellectual property or other rights of any third party and that the Physical Carpet accurately include the NFC chip.
Re-Ignition.World makes no other warranties or representations of any kind related to the Services or the Carpets or the information and materials contained thereon. Re-Ignition.World makes the Services and Carpets available to the Customer and uses reasonable care and skill in the performance of the Services and provision of the Carpets.
Entire Agreement: The Agreement constitutes the entire agreement between Re-Ignition.World and the Customer, and supersedes all prior agreements, between the parties relating to the subject matter of the Agreement.
Changes to Terms: Re-Ignition.World may amend the Terms from time to time at its sole discretion by publishing an updated version on the website. For individual orders, the Terms valid at the time of the order remain in effect; Services are subject to the current Terms at the time of their publication.
Notices: Notices must be given in writing, including e-mail, and need to be communicated:
To Re-Ignition.World's attention: via email to: contact@reignition.world;
To Customer's attention: via email to the last e-mail address provided by the Customer. It is the Customer's responsibility to keep provided contact information current.
No Assignment: The Customer may not assign any of its rights, obligations, or claims under the Agreement without the previous consent of Re-Ignition.World.
Severability: If any provision of the Agreement (in whole or part) is held to be illegal, invalid or otherwise unenforceable, the other provisions will remain in full force and effect.
Governing Law & Jurisdiction: These Terms, and all claims or causes of action that may be based upon, arise out of or relate to these Terms shall be governed by and construed in accordance with the substantive laws of Switzerland, excluding its conflict of law provisions and the United Nations Convention on Contracts for the International Sale of Goods (CISG). The ordinary court at the seat of Re-Ignition.World has jurisdiction for all disputes arising from or in connection with the Terms.
